Terms of Service

1. Agreement to Terms

By accessing and using the Solvr service ("Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use the Service.

These terms apply to all users of Solvr, including organizations and their team members. Organizations are responsible for ensuring all team members comply with these terms.

2. Use License

Solvr grants you a limited, non-exclusive, non-transferable license to use the Service for your organization's internal decision-making purposes only.

You may not:

  • Use the Service for any illegal or unauthorized purpose
  • Attempt to gain unauthorized access to the Service or its systems
  • Reverse engineer, disassemble, or decompile any part of the Service
  • Use the Service to send spam, phishing emails, or malicious content
  • Harass, abuse, or threaten other users
  • Interfere with or disrupt the Service or servers/networks connected to it
  • Copy, modify, or create derivative works of the Service
  • Use the Service to store or transmit illegal, confidential, or proprietary information of others

3. Data Ownership & Control

Your Data Ownership: Your organization retains all ownership rights to your data, including decisions, evidence, and team information. Solvr does not own, claim, or have any rights to your data.

Solvr's Role: Solvr acts as a data processor on behalf of your organization (the data controller). We store and manage your data only as necessary to provide the Service.

Data Usage Rights: By using the Service, you grant Solvr the limited right to:

  • Store your encrypted data on our servers
  • Process your data to provide the Service features
  • Analyze usage patterns for product improvement (anonymized, aggregated only)
  • Comply with legal requests and law enforcement

No Monetization: We do not sell, rent, or share your data with third parties for marketing purposes.

4. Data Controller & Processor Relationship

For purposes of data protection laws:

  • Data Controller: Your organization (the entity using Solvr)
  • Data Processor: Solvr (we process data on your organization's behalf)

Your organization is responsible for:

  • Obtaining necessary consents from data subjects (e.g., decision participants)
  • Complying with applicable data protection laws in your jurisdiction
  • Ensuring you have authority to process the data you upload to Solvr
  • Responding to data subject requests (we will support your response)

A Data Processing Addendum (DPA) is available upon request for organizations subject to GDPR or similar regulations.

5. Service Availability & Uptime

Service Level: Solvr aims to maintain 99% uptime (measured monthly). We do not guarantee 100% uptime and are not liable for downtime or service interruptions.

Maintenance: We may perform scheduled maintenance without prior notice. We will use reasonable efforts to minimize impact during off-peak hours.

No Liability: We are not liable for any damages caused by service downtime, delays, or interruptions, including lost data (provided we maintain backups per our policies).

6. Acceptable Use Policy

Prohibited Activities: You agree not to use the Service to:

  • Violate any laws or regulations
  • Infringe on intellectual property rights of others
  • Upload malware, viruses, or harmful code
  • Send unsolicited emails or spam through decision notifications
  • Harassment, threats, or discriminatory content toward other users
  • Impersonate other users or organizations
  • Excessive resource consumption that degrades service for others

Enforcement: We may suspend or terminate your account if you violate these policies. Violations may also be reported to law enforcement.

7. Limitation of Liability

Disclaimer: The Service is provided "as is" without warranties of any kind. Solvr disclaims all warranties, express or implied, including fitness for a particular purpose.

Liability Cap: In no event shall Solvr be liable for:

  • Lost profits or revenue
  • Lost or corrupted data (we maintain backups, but cannot guarantee recovery)
  • Business interruption or operational losses
  • Indirect, incidental, special, or consequential damages
  • Damages exceeding the total amount paid for the Service in the past 12 months

This limitation applies even if Solvr has been advised of the possibility of such damages.

8. Data Retention & Deletion

Retention Policy: Your organization can configure how long decision data is retained after completion. See Privacy Policy for details.

Organization Deletion: When an organization is deleted:

  • Data is soft-deleted (retained for 3 months in case of accidental deletion)
  • After 3 months, data is permanently and irreversibly deleted
  • Members cannot access the organization during the soft-delete window
  • Recovery requests can be made during the 3-month window

Backup Data: Even after deletion, Solvr may retain backup copies for system recovery purposes (separate from accessible data). These backups are subject to the same security protections.

9. Account Termination

Termination by You: You can delete your organization account at any time from organization settings. This initiates the soft-delete process described above.

Termination by Solvr: We may suspend or terminate your account if:

  • You violate these Terms of Service
  • You engage in illegal or harmful activity
  • You fail to pay applicable subscription fees
  • We are required to do so by law

Effect of Termination: Upon termination, your access to the Service ends immediately. Your data follows the retention policies above.

10. Payment & Billing

No-Cost Tier: A no-cost tier is available with limitations on storage and features.

Paid Subscriptions: Paid subscriptions are billed monthly or annually in advance. By subscribing, you authorize Solvr to charge your payment method.

Refunds: All sales are final. We do not offer refunds for unused portions of a subscription. Cancellation takes effect at the end of the current billing period.

Price Changes: We may change prices with 30 days' notice. Existing subscriptions are honored at current rates until renewal.

11. Intellectual Property

Solvr IP: The Solvr platform, including code, design, features, and functionality, is owned by Solvr. You have limited license rights only (as granted in Section 2).

Your Content IP: You retain all intellectual property rights to your content (decisions, evidence, etc.). By uploading content, you grant Solvr a license to use it only as necessary to provide the Service.

Feedback: Any feedback or suggestions you provide about Solvr may be used by Solvr without compensation or attribution.

12. Changes to Terms

Solvr may update these terms at any time. Material changes will be communicated to organizations via email. Your continued use of the Service constitutes acceptance of updated terms.

Governing Law: These terms are governed by applicable laws, including GDPR for EU/EEA users. Disputes shall be resolved by binding arbitration or court jurisdiction as applicable to your location.

GDPR Compliance: To the extent GDPR applies, these terms are interpreted consistently with GDPR requirements. See Privacy Policy for additional protections.
